Gianluca advises domestic and international clients on complex local and cross-border M&A transactions, including share acquisitions and disposals, joint ventures, corporate reorganizations, competitive bidding procedures, acquisitions of distressed assets, R&W policies, private equity and club deals, as well as stock and cash incentive plans for managers and employees associated with corporate transactions. His M&A experience ranges across the main industry sectors and regulated markets, including Hospitality and Land Development, ICT and Gaming, Energy, Construction and Infrastructure.

Recent professional experiences include advising Discovery Land Company on the development project of Tenuta di Castelfalfi; advising the owner of  the Rome Nobu Hotel & Restaurant about the Oaktree facilities transaction; advising in the sale of leading Italian and French corporates manufacturing advanced irrigation systems to a Carlyle Fund. Other representative cases include the share sale of Palomar, an Italian leading fiction and film producer, to the French media conglomerate Mediawan, along with the reinvestment in the holding company controlled by KKR; the acquisition from the E.On Group of Italian coal and gas power stations; the assistance to Ardian private equity in the investment into Italy's largest infrastructure and energy management company F2i SGR and related infrastructure funds.

In the domestic and international arbitration domain, Gianluca represents clients under various sets of arbitration rules (including, ICC, LCIA, AAA, Swiss Rules, Milan Chamber of Arbitration Rules), different law systems (including Italy, Switzerland, France, US, UK, UAE) and a wide range of industry sectors including construction, infrastructure and energy (assistance to primary EPC Contractors such as the Maire Tecnimont and Toshiba Groups).  He acted as a member of the task force for the revision of the ICC rules of Arbitration by its Italian National Committee (AIA/ICC Italy) and served as Co-Chair of ARBIT – Italian Forum of Arbitration and ADR.

Prior Experience:

Until 2017, before establishing his new firm, Gianluca was an equity partner at Baker McKenzie Italy. He also gained valuable experience at other prestigious international law firms, including Chiomenti in Rome and Boden De Bandt De Brauw Lagerlof & Uria in Brussels.
